What is COT's Learning Center?

COT's Learning Center goal is to provide a cost-effective, community-based service dedicated to those who seek to learn and enhance healthcare knowledge and skills for today's ever-changing marketplace.

Our message-based community for online continuing education covers the hottest topics healthcare and chiropractic today. For reasonable fees, plus the cost of any materials, you can boost your healthcare IQ, learn skills to advance your career, and improve your chances for success.

Log on at your convenience to read messages from instructors, post questions, and discuss homework with fellow students (where appropriate), from the comfort of your own home or office. Take advantage of the Lounges to keep in touch with classmates, form study groups, and get tips and links to valuable resources (where appropriate).

COT's Learning Center classes are instructor-led, pertain to specific health-related topics, and generally run 8 to 12 weeks. Students participate by posting messages in the class message boards. Students also attend Live chats with instructors and other students. Once you are registered, you will be given the necessary information allowing you to access any of the areas related to your course. Any books, hosting services, or software needed for a course are sold separately.

Overview of How to Take a Class at COT's Learning Center

Step 1: Visit the Course Catalog and choose a class.

Once you are registered for a particular class, you will be emailed instructions concerning accessing the online classroom or modular curriculum..

1.Click the "Courses" link on the navigation bar of any Learning Center page.
2.Find a course that interests you.
3.Click on the course name in the Course Catalog, then click the "Register"  button near the top of the resulting course description page. You will be taken to a new browser page allowing for online registration. Note that all online transactions are via the PayPal system.  Options for  registering over the phone are also available.

Step 2: Purchase the required material

Most of COT's Learning Center classes require you to purchase a textbook, and some require you to own specific software. In each course description page in the Course Catalog you will find the requirements for that class. You should make sure you own any required material before the class begins.

You can purchase most of the required textbooks and software anywhere, but COT offers much of the material for its courses at a discount through the COT Online Bookstore.

Step 3: Proceed to the classroom!

Your classes will appear on your Classes page along with the class start dates. Your Classes page is accessible by clicking the "Classes" link in the COT's Learning Center navigation bar at the bottom of each page.

Some classes will have one "live" Java-based classroom and at least one Discussion or Message Board area to share ideas and comments with teachers or fellow students.

Classroom: This is the area for real-time, interactivity. A pre-determined schedule of classes will be posted. Attendance will be recorded and forwarded, when necessary, for purposes such as with Continuing Education (CE) credits for State re-licensing.

The COT Lounge: A place for related and off-topic discussions, personal introductions, and general relaxation with your classmates. These Discussion areas are made available for students to share ideas and/or ask questions to faculty and other students during non-classroom hours. Inappropriate discussions may be removed.

What COT'S Learning Center Costs

All charges for Learning Center courses are in (US) denominations. Costs for classes are determined on a class by class basis. Factors such as instructor online participation and preparation and course duration will determine pricing for each course.

Sales tax: Billed where appropriate for the states of Connecticut, Texas, and New York. Customers in other U.S. states and foreign countries will be responsible for any use tax or VAT that may be due.

Continuing Education Units: CEUs are not included in the online course fee. If CEUs are available for re-licensing, you will see any additional charges listed on the registration page. You will be charged for any available CEUs at the time of registration, however, your CEU money will be refunded if you do not meet the CEU requirements by the end of the class, minus administrative fees.

Required materials: Each class has a list of required materials, such as textbooks or software, that is not included in the registration fee. (See individual Course description for more information.)

Completion of Course: At the completion of a particular course, students who have achieved a passing grade will be issued a Certificate of Completion by Internet AdCom Services.  All Certificates of Completion will be mailed to the student who successfully completed a particular course within 2 - 4 weeks from the Course's end date. Students should forward any changes to Name, Mailing address, etc., which are different from any registration information previously submitted to Internet AdCom Services.  Information from the student's registration material will be used for completing any and all Certificates of Completion.

Grading:

Pass/Fail courses:   Students will need to receive a Final Grade of Passing to be issued a Certificate of Completion;

Graded courses: Students will need to receive a passing grade (i.e., no lower than a 65) to be issued a Certificate of Completion:

A - 90 - 100
B - 80 -   89
C - 70 -   79
D - 65 -   69
F - 64 and below

Note: Students who drop any course(s) within the first 48 hours of week #1, will be issued an Incomplete for their records;  Students who drop any courses in writing after week #1's 48 hour grace period, will be issued a W/F (withdrew failing) grade for their records; Student's who fail to complete any courses will be issued an F grade for their records.

COT's Learning Center's Registration

Registering for a class is simple. Either click on the "Enroll" link on the navigation bar or the "Registration" link on the course description page. You will then be brought to a new browser page to begin the registration process. Note that all information will be transmitted via the PayPal system. Verify that the Security "lock" (lower left hand corner in Netscape, bottom center in IE) is closed prior to transmitting any registration information. Students may also contact Internet AdCom Services at 212-252-3963 to register by phone.

Once payment has been received and registration has been completed, students will be forwarded, via email, a Username and Password. It is the student's responsibility to keep this information in a secure place, as only one (1) student with a unique Username and Password will be allowed in "Class" at any one time.

COT's Learning Center Payment Options

You can pay for your COT's Learning Center tuition with MasterCard, Visa or American Express, via the PayPal system.  In addition, you may use a company check, or U.S. Bank/U.S. Postal purchase order. Your online payment is processed using PayPal's payment system.  All Payments are in U.S. denominations. Payment can also be made by calling Internet AdCom Services at 212-252-3963, or mailed, by printing out the registration page from your browser and sending to:

How to drop out of COT's Learning Center

COT's Learning Center is a per course, fee-based service. Your registration entitles you to all the services and benefits offered by COT's Learning Center. Your registration in non-refundable except as described below.

You may decide to drop any course for a refund of your tuition, up to 48 hours prior to the first online session, or up to 48 hours prior to the start date of any non-classroom course. Written and signed notification is required via mail at the address listed above for any tuition to be refunded. Note that a $75.00 administrative fee will be retained for all registrations, thus a full refund will be comprised of the tuition of the course minus $75.00.

Once "live" classes or online training courses have begun, you will only have 48 hours to decide whether to stay enrolled. During this first (1st) week of classes, students will receive a refund of 50% of the course's tuition. After the first(1st) week's 48 grace period has expired, there will be no refunds given, except in documented cases of death.

Once you have dropped out of COT's Learning Center, you will not be able to take the COT's Learning Center class you had registered for, access your lounges, obtain any CEUs that have not already been processed, take advantage of special discounts for COT's Learning Center students, or use any of the COT's Learning Center Resources from the Library.

If you decide to re-register for a COT's Learning Center course at a later date, you will have to enroll again and open a new account. Because you will have a new account, you will not have access to any lounges you had access to with your previous account.

Where to get more help with billing and membership problems

If you have a question or a problem involving registration or billing, and you can't find the answer in this handbook, go to any "More Info" or Email link, located throughout the COT Learning Center web site. The workload at Student Services varies according to when new classes start. More messages are generated on the first day of each class than at any other time. Messages are answered in the order received. If you ask for assistance, especially on the first day of class, give them at least 24 to 48 hours to reply. Each request at Student Services is handled individually. Duplicate requests for the same situation, questions whose answers are available in the handbook, and questions that should be directed to sysops slows them down.

What Software You Need to Connect to COT's Learning Center:

Browsers

COT's Learning Center uses the latest Web-based technologies in order to provide an interactive educational experience. That means that some Web browsers work better than others with COT's Learning Center. At this time, we recommend an HTML 4+ compatible browser such as:

Internet Explorer 6.0 or above (http://www.microsoft.com/windows/ie/default.htm)
Netscape Navigator 4.7 or above (http://home.netscape.com)

Older browsers may work, however, any as COT's Learning Center uses Java and JavaScript technology, any browser used must be compatible with these technologies.

JavaScript

COT's Learning Center makes extensive use of JavaScript. (Internet Explorer uses ActiveX to implement JavaScript.) So if you've changed your browser settings to disable JavaScript (a default setting in Netscape Navigator) or ActiveX (a default setting in Internet Explorer), you'll need to re-enable it to view the COT's Learning Center Web site.

To enable JavaScript in Netscape Communicator (Navigator 4.x):

1.From the "Edit" menu, select "Preferences."
2.In the "Category" list on the left, click on "Advanced."
3.Check the "Enable JavaScript" option.
4.Click on "OK" to close the dialog box.

To enable ActiveX in Internet Explorer 6.x:

1.From the "Tools" menu, select "Internet Options."
2.In the dialog box, click on the tab labeled "Security."
3.Check all the ActiveX options.
4.Click on "OK" to close the dialog box.

Cookies

Cookies are messages written in your browser by your server. When you return to a Web page, your browser sends the "cookie" information to the server. This information identifies you, making it possible to alter a Web site to your needs. In future versions of COT's Learning Center, students must accept browser cookies to access COT's Learning Center member areas. For your convenience, we recommend that you turn off the cookie notification feature in your browser.

Why? Because cookies are used by COT's Learning Center to handle your user ID and password information whenever you login to the site. COT's Learning Center cookies are temporarily written to your computer's memory (RAM). Only if you choose to "save" your user ID and password on the login screen will cookies be written to your hard drive.

Although many people refuse cookies in order to protect their privacy, COT's Learning Center does not use cookies to gather information on your Web surfing habits, your interests, or to track down any other information without your knowledge or consent.

COT's Learning Center is aware that privacy is an utmost concern for our students. Our members may choose when enrolling for a class if they do or do not want their names sent to vendors selling class-related goods. We respect our members' privacy and do not give out any information without an individual's permission.

We use cookies to ensure the privacy of your account when you enter secure parts of our site. Cookies allow you to login, participate in classes, and access chat areas. When you quit your browser, the cookie will be erased from memory unless you select the checkbox on the login screen to save the cookie information on your hard drive. We recommend you turn off cookie notification. Otherwise, every time you try to access a page on the secure part of the server, an alert box will pop up.

Please note: Cookie notification enabled is the default setting in the recommended browsers. Therefore, you'll need to change this prior to entering COT's Learning Center unless you have changed it before.

To turn off cookie notification in Netscape Navigator 4.x:

1.From the "Edit" menu, select "Preferences."
2.In the "Category" list on the left, click on "Advanced."
3.Check the "Accept all cookies" option.
4.Click on "OK" to close the dialog box.

To turn off cookie notification in Internet Explorer 6.x:

1. From the "Tools" menu, select "Internet Options."
2. In the dialog box, click on the tab labeled "Privacy."
3. Click on the "Advanced" tab.
4. Click on the "Override automatic cookie handling.
5. Choose Accept for both columns.
5. Click on "OK" to close the dialog box.

AOL

AOL users must use the AOL 7.0 (or above) client for Windows 98SE software, since other versions use AOL's proprietary Web browser, which lacks some of the features of Netscape Navigator and Internet Explorer.

How do you know if your AOL version is AOL 7.0 for Windows 98SE?  Launch your AOL client (no need to log on) and check "About America Online" located in the "Help" menu.

If you have an older version and need an upgrade, log on and go to the upgrade area (keyword: upgrade). If you've upgraded and you still encounter trouble, follow all ActiveX and cookie instructions above on this page for Internet Explorer, the browser installed with the AOL 7.0 for Windows 98SE software package.

Macintosh users: COT's Learning Center software has been tested on the PC platform.  You will need to verify that your Internet Explorer and Safari Web Browsers are compatible with COT's software..  

Firewalls

If your computer is located behind a company firewall, you might not be able to access portions of the COT's Learning Center Web site from work. Company firewalls sometimes block JavaScript, or won't let you log in to a secure server--which COT's Learning Center requires. If your company's firewall blocks JavaScript, you won't be able to enter the classrooms from your work computer. If your company firewall allows JavaScript but doesn't allow access to a secure server, you should be able to join COT's Learning Center from a computer at home or any other location but still be able to access the classrooms from work.

Check with your system administrator to find out what is and what is not blocked at your location.

How to connect to COT's Learning Center

Point your browser to the main COT's Learning Center page at http://www.Chiro-Online.com. From that page, you can follow the links to any other parts of COT's Learning Center, including the COT's Learning Center classrooms, the Campus Store, the Course Catalog, and Student Services.

In order to ensure that you are seeing the latest data on any COT's Learning Center page, you will need to set your browser to refresh at every page view. Find your browser from those listed below and follow the instructions listed.

Netscape 4.x:

IE 6.x:

Connecting through bookmarked pages

It is possible to bookmark different locations within COT's Learning Center, such as the Classroom page, but we recommend that you use bookmarks only with caution, for these reasons:

1.As COT's Learning Center grows, changes in servers or other site reorganization bookmarks inside COT's Learning Center may stop working or take you to outdated pages.

2.Message board URLs are designed to expire. A bookmark into a classroom will not be useful for very long.

When you need your user ID and password

When members go to one of these members-only pages, they'll be asked to enter the user ID and password chosen during enrollment.

*Note: Without a user ID and password, members won't be able to access these pages. Members should record user IDs and passwords in a safe place!

A last-minute checklist for first-time students

If you're a first-time COT's Learning Center student you can use the following checklist to make sure you're ready for class:

1.Have you received confirmation of your course registration?

Your registration should have been confirmed when you first registered.  You should receive a reminder note by email about a week before your class is scheduled to begin.

2.Do you have the materials required for the class?

Many courses require certain materials before the class begins. If there's a book assigned for the class, you'll need to have it on hand. In a programming class, you may need to have a particular compiler or programming environment installed, for example, or in an HTML class, you may need to have access to a Web server.

To check on the requirements for your course, go to the Course Catalog, locate the course you're registered for, and click on the course name to read the full course description, which includes the course requirements. If you still have questions about the requirements, you can post a note in the classroom during the first week of class.

3.Do you have a COT's Learning Center -capable browser, and is it working correctly? The COT's Learning Center Web site requires that you use Netscape Navigator 3.0 (or later) or Microsoft Internet Explorer 3.0 (or later). COT's Learning Center supports only the release versions of these browsers--beta and other "early release" versions may or may not work properly with COT's Learning Center. See complete browser requirements for more information. Note that Browser Technical Support must come from the supplier of the browser.

4.Do you know the course start and end dates?

You'll receive a reminder note by email about a week before the class begins. That reminder will include the starting date for the class. You can also find the starting date by checking the course description in the Course Catalog.

Terms & Conditions

1. General.

1.1 These Terms & Conditions govern your use of COT's Learning Center (the "Service"), an Internet subscription service operated by Internet AdCom Services. The Service consists of computing and information services and software, information, interactive forums and other content provided by Internet AdCom Services. In addition, third parties provide information, software and other content ("Third Party Content") which may be accessed over the Service.

1.2 Your participation in the Service is conditioned upon your acceptance of the terms and conditions contained in this agreement. Please read the following terms and conditions and indicate your acceptance by clicking on the Join COT LC button. Internet AdCom Services reserves the right, in its discretion, to change or modify all or any part of this Agreement at any time. Such changes or modifications shall be effective immediately upon notice published on the Service. Your continued use of the Service constitutes your binding acceptance of these terms and conditions, including any changes or modifications made by Internet AdCom Services as permitted above.

1.3 If at any time the terms and conditions of this Agreement are no longer acceptable to you, you should immediately terminate your subscription to the Service by following the procedures indicated in paragraph 10.

2. Use of service content.

2.1 You acknowledge that the Service contains information, software, photographs, audio and video clips, graphics, and other material (collectively, the "Content") that is protected by copyright, trademark or other proprietary rights of Internet AdCom Services or third parties. All Content on the Service is copyrighted as a collective work of Internet AdCom Services pursuant to applicable copyright law. You agree to comply with any additional copyright notices, information, or restrictions contained in any Content available on or accessed through the Service.

The Content is intended for the personal, noncommercial use of the registered subscribers of the Service.

2.2 You may not modify, publish, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, display, or in any way exploit, any of the Content, in whole or in part, except as otherwise expressly permitted in this Agreement. Content consisting of downloadable software may not be reverse engineered unless specifically authorized by the owner of the software's patent and/or copyright.

2.3 You may download or copy the Content only for your own personal use, provided that you maintain all copyright and other notices contained in such Content. You shall not store electronically any significant portion of any Content. Except as expressly permitted by the copyright laws, no copying, storage, redistribution or publication of any Content is permitted without the express permission of Internet AdCom Services or the owners of such Content or their authorized persons, if other than Internet AdCom Services. You may upload to or download from the Service any Content in the public domain for your own personal use or for non-commercial redistribution. You assume all risk and responsibility for determining whether any Content is in the public domain, regardless of any notices which may be posted on such Content.

2.4 You grant to Internet AdCom Services the right to edit, copy, publish, distribute, translate and otherwise use any Content that you place on the Service, in any medium. You represent and warrant that you are authorized to grant all rights set forth in the preceding sentence.

3. Service rules of conduct.

You shall not upload to, or distribute or otherwise publish through, the Service any Content which (a) is libelous, defamatory, obscene, pornographic, abusive, harassing or threatening, (b) contains viruses or other contaminating or destructive features, (c) violates the rights of others, such as Content which infringes any copyright, trademark, patent, trade secret or violates any right of privacy or publicity, or (d) otherwise violates any applicable law.

You shall not use the Service for any commercial purpose and shall not distribute over the Service any advertising or solicitation of funds or goods and services. In addition, you shall not use the Service to solicit subscribers to join other online information services which are competitive with the Service.

4. Managing content.

Internet AdCom Services cannot review all the Content posted by subscribers of the Service and is not responsible for such Content. However, Internet AdCom Services reserves the right to delete, move, or edit any Content (including messages posted in any forum) that it may determine, in its sole discretion, violates this Agreement or is otherwise unacceptable. You shall remain solely responsible for all Content posted by you or by any other person using your account. Internet AdCom Services shall have the right, but not the obligation, to correct any errors or omissions in any Content, as it may determine in its sole discretion.

5. No endorsement.

5.1 Internet AdCom Services does not represent or endorse the accuracy or reliability of any Content displayed, uploaded, or distributed through the Service by any subscriber, information provider or any other third party. You acknowledge that any reliance upon such Content shall be at your sole risk.

5.2 The Service may contain links to sites on the Internet which are owned and operated by third parties (the "External Sites"). You acknowledge that Internet AdCom Services is not responsible for the availability of, or the content located on or through, any External Site. You should contact the site administrator or Webmaster for those External Sites if you have any concerns regarding such links or External Sites.

6. Registration; subscriber qualifications.

6.1 As part of the registration process, you will fill in certain information about yourself. You must provide accurate, complete, and current registration information and you agree to provide Internet AdCom Services with any of that information promptly after such changes occur.

6.2 Subscriptions to the Service are available only to individuals (not to corporations or other businesses) who are at least 18 years of age. Your right to use the Service is personal to you and cannot be transferred to any other person. However, you may share your password with others, including persons under the age of 18, and allow them to use the Service through your account, subject to your obligations under paragraph 6.3.

6.3 You are responsible for all use of your account under any password by any person whether or not authorized by you and for ensuring that all use of your account complies with this Agreement.

7. Fees & payments.

7.1 You agree to pay all fees and charges incurred by you or any third party using your Service account (whether or not authorized by you) at the rates in effect for the billing period in which such fees and charges are incurred, including, but not limited to applicable taxes, and charges for any products or services offered for sale through the Service by Internet AdCom Services or by any third party. Your right to use the Service is subject to any limits established by your credit card company if billing is through a credit card.

7.2 You shall be responsible for obtaining all telephone, telephone access lines, computer equipment and other products or services necessary to access and use the Service. You shall be responsible for all charges associated with accessing and maintaining a connection to the Service (e.g., charges imposed by an Internet access provider, or your local telephone company).

8. Subscriber information.

Unless you elect otherwise by notifying Internet AdCom Services via Email, Internet AdCom Services shall have the right to disclose certain limited registrant information (e.g., registrant's name and mailing address) to third party vendors for the purpose of providing subscribers with information about products and services. Internet AdCom Services shall also have the right to disclose aggregate information about subscriber usage and demographics in a manner that does not reveal the personal identity of any individual subscriber. Internet AdCom Services shall have the right to send you electronic mail to inform you of changes or additions to the Service, or of any products and services of Internet AdCom Services or its affiliates.

9. Indemnity.

You hereby agree to indemnify, defend and hold Internet AdCom Services, and all officers, directors, owners, agents, information providers, affiliates and licensors (collectively, the " Internet AdCom Services Parties") harmless from and against any and all liability, losses, costs and expenses (including attorneys' fees) incurred by any Internet AdCom Services Party in connection with any claim arising out of any use or alleged use of your account or password by any person, whether or not authorized by you. Internet AdCom Services reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Internet AdCom Services' defense of such claim.

10. Termination of service.

10.1 You may terminate your account as described above, by contacting Chiropractic OnLine Today. You will receive a confirmation via e-mail that your Email was received, and your access will be terminated within [48] hours. You are responsible for all charges, as described above, incurred up to the time the account is terminated. Internet AdCom Services reserves the right to change the amount of any fee or charge for a particular course of the Service or to institute new fees or charges, effective for a particular course the next time the Service offers a particular course.

10.2 Internet AdCom Services reserves the right, in its sole discretion, to restrict, suspend or terminate your access to all or any part of the Service at any time for any reason without prior notice or liability.

10.3 Internet AdCom Services may change, suspend or discontinue all or any aspect of the Service at any time, including the availability of any Service feature, database, or content, without prior notice or liability. A pro-rated reimbursement will be offered at that time. Further, Internet AdCom Services reserves the right to change, modify or update this Student Handbook at any time.

  11. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY.

11.1 NEITHER INTERNET ADCOM SERVICES NOR ANY PROVIDER OF THIRD PARTY CONTENT OR THEIR RESPECTIVE AGENTS WARRANTS THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; NOR DOES INTERNET ADCOM SERVICES, ANY THIRD PARTY CONTENT PROVIDER, OR THEIR RESPECTIVE AGENTS MAKE ANY WARRANTY AS TO THE RESULTS TO BE OBTAINED FROM USE OF THE SERVICE OR THE CONTENT. THE SERVICE AND THE CONTENT ARE DISTRIBUTED ON AN "AS IS, AS AVAILABLE" BASIS. NONE OF INTERNET ADCOM SERVICES, THIRD PARTY CONTENT PROVIDERS AND THEIR RESPECTIVE AGENTS MAKE ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SERVICE, ANY CONTENT OR ANY PRODUCTS OR SERVICES SOLD THROUGH THE SERVICE. YOU EXPRESSLY AGREE THAT THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SERVICE AND THE ACCURACY OR COMPLETENESS OF THE CONTENT IS ASSUMED SOLELY BY YOU.

11.2 NEITHER INTERNET ADCOM SERVICES, ANY THIRD PARTY CONTENT PROVIDER NOR THEIR RESPECTIVE AGENTS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 SOME STATES DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH STATES, THE LIABILITY OF INTERNET ADCOM SERVICES, THIRD PARTY CONTENT PROVIDERS AND THEIR RESPECTIVE AGENTS SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

12. Third party rights.

The provisions of paragraphs 2, 3, 9 and 11 are for the benefit of Internet AdCom Services, Third Party Content providers and their respective employees, agents and contractors; and each such party will have the right to enforce such provisions directly on its own behalf.

13. Miscellaneous.

This Agreement shall be construed in accordance with the laws of the State of New York, and the parties irrevocably consent to bring any action to enforce this agreement in the federal or state courts located in New York, NY in the Borough of Manhattan. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all previous written or oral agreements between the parties with respect to such subject matter. This agreement may not be amended except in writing signed by both parties and no waiver by either party shall be deemed a waiver of any preceding or subsequent breach or default. The provisions of sections 2, 3, 7, 8, 9, 11 and 12 shall survive any termination of this Agreement, as well as any other provisions which by their terms or sense are intended to survive.
